Scratch Creative London Ltd | Global Terms & Conditions 2025
These Terms & Conditions outline the standard commercial terms under which Scratch Creative London Ltd (“Scratch Creative”, “we”, “us”, or “our”) delivers all design, production, and experiential services. They are intended to ensure transparency and fairness across all client relationships and projects.
While these are our standard terms of business, certain projects may include specific contractual variations or additional clauses that supersede or supplement these Terms & Conditions. Where applicable, such project-specific terms will be detailed within your proposal, quotation, or agreement.
If you are unsure which terms apply to your project, please contact your Scratch Creative account manager or project manager for clarification prior to confirming your order or paying any deposit.
Payment Terms
A 75% deposit is required upon confirmation of the project to secure dates and initiate design and production, unless otherwise agreed in writing. For larger or multi-phase projects, Scratch Creative London Ltd may issue staged payment schedules, for example: 25% upon project confirmation; 25% on design approval or commencement of production; 25% on completion of fabrication or prior to dispatch; and 25% balance within 7 days of completion or handover. Notwithstanding any staged payment plan, a minimum of 75% of the total contract value must be received in cleared funds before installation or on-site works commence. If payment has not been received, Scratch Creative London Ltd reserves the right to delay, postpone, or reschedule installation until full pre-installation payment has cleared, without liability for any resulting delays or associated costs. All invoices will be issued in GBP (Sterling) unless otherwise agreed in writing. Prices are exclusive of VAT or applicable local taxes unless otherwise stated. All bank-transfer fees, currency-conversion charges, and international payment costs are the responsibility of the client.Late Payments
Invoices not settled within agreed terms will accrue interest at 5% per month above the Bank of England base rate or the maximum rate permitted under applicable law. Scratch Creative London Ltd reserves the right to suspend ongoing or future work if payment remains overdue.Cancellations & Postponements
If the client cancels: 25% of total project value if cancelled within 45 days of delivery date; 50% within 30 days; 100% within 14 days. All production, material, and design costs already incurred will be chargeable in full. If postponed, revised timelines and storage fees may apply.Venue & Third-Party Suppliers
Where Scratch Creative London Ltd books venues or suppliers on the client’s behalf, it acts solely as an agent. Should a venue cancel or become unavailable, the project will be rescheduled to a new date at no additional fee, but no compensation or refund will be payable.Scope & Variations
Work is delivered in accordance with the agreed proposal. Changes after sign-off may affect cost and timelines. All variations must be confirmed in writing prior to implementation.Design Visuals & Renders
All visuals, 3D renders, and design representations are conceptual guides illustrating design intent. Reasonable variations may occur due to material availability, local regulations, lighting, fabrication methods, or on-site conditions and shall not constitute a defect or breach provided overall design intent and quality are maintained.Approvals & Client Responsibilities
The client must provide timely approvals, access, and information required for delivery. Delays caused by client actions, late approvals, or lack of access are not the responsibility of Scratch Creative London Ltd and may incur additional costs.Client Default & Suspension of Work
If the client fails to provide necessary information, approvals, or payments on time, Scratch Creative London Ltd may suspend work until resolved. Any costs, storage, or delays arising from such suspension will be borne by the client.Subcontractors & Third Parties
Scratch Creative London Ltd may engage subcontractors or partners for delivery, including local suppliers and contractors in other territories, while retaining overall project management and quality oversight.Health & Safety & Local Regulations
All activities will comply with applicable local Health & Safety regulations, construction codes, and licensing requirements in the jurisdiction of the project. Scratch Creative London Ltd may halt works if unsafe conditions are identified or if required local permits or documentation are not in place, without liability for resulting delays or losses.CDM 2015 Compliance (UK Projects)
For UK-based projects, both parties acknowledge their respective legal duties under the Construction (Design and Management) Regulations 2015. Scratch Creative London Ltd will act as Principal Contractor and/or Designer where formally appointed. The client, as duty holder, must ensure adequate welfare, provide pre-construction information, and appoint competent duty-holders. Scratch Creative London Ltd accepts no liability for delays or costs arising from the client’s failure to comply with CDM 2015 obligations.Insurance
Scratch Creative London Ltd maintains Public and Employers’ Liability insurance for its operations worldwide during production and installation phases. Once an installation has been handed over or the live period has commenced, the client assumes full responsibility for insurance coverage, including theft, accidental damage, fire, weather-related loss, and third-party injury or property damage. The client must ensure adequate event or property insurance is in place for the duration of the live period, including coverage for international freight, customs, and transit risks. Any loss or damage occurring after handover will be repaired or replaced at the client’s cost.Customs, Duties & Import/Export
For international projects, the client is responsible for all customs clearance, duties, import/export taxes, documentation, and local authority permissions unless otherwise stated in the proposal. Scratch Creative London Ltd will provide shipment information and commercial invoices in good faith but accepts no liability for delays, additional costs, or penalties arising from customs procedures, inspections, or border controls outside of its direct control. Any delays to delivery or installation schedules caused by customs or freight handling shall not constitute a breach of contract or grounds for penalty. Additional costs incurred due to customs delays—including storage, demurrage, freight rebooking, reinstallation, or personnel standby time—will be chargeable to the client at cost. Scratch Creative London Ltd cannot guarantee delivery timelines once goods are in transit or held by customs authorities.Client-Supplied Materials
Scratch Creative London Ltd accepts no liability for materials, artwork, or props supplied by the client or their appointed third parties.Licences, Permits & Authorisations
The client is responsible for obtaining and maintaining all necessary local licences, permits, and authorisations required for the project or live event, including but not limited to Temporary Event Notices (TENs), public performance and music licences (e.g. PRS, PPL, BMI, ASCAP), alcohol or food service licences, building/planning/temporary structure permits, and fire safety, security, and crowd management approvals. Scratch Creative London Ltd will assist where possible by providing documentation or supplier details but accepts no liability for delays, cancellations, enforcement actions, or losses resulting from the client’s failure to obtain or maintain the necessary permissions.Client Artwork, Assets & Specifications
The client is responsible for providing all required artwork, assets, and specifications—including logos, fonts, imagery, colour references, and print-ready files—accurately, to the agreed format, and within a reasonable timeframe as defined by the project schedule. Scratch Creative London Ltd accepts no responsibility for errors, inaccuracies, or delays arising from incorrect, low-resolution, or improperly formatted artwork or information supplied by the client or third parties acting on their behalf. Any reprints, adjustments, or production delays resulting from such errors will be chargeable in full.Damage, Loss & Storage
The client is responsible for the care and security of all hired or installed items during the live period. Damage or loss beyond fair wear and tear will be chargeable. Extended storage or international transport of materials will incur additional costs unless agreed in writing.Damage to Venue or Site
Scratch Creative London Ltd shall take reasonable care to prevent damage to any venue or site. The client accepts responsibility for any penalties, repair costs, or damages levied by the venue arising from activities outside Scratch Creative London Ltd’s direct control, including those caused by client staff, guests, or third-party suppliers.Installation & Defects Rectification
If any issues or defects are identified during or after installation, the client must notify Scratch Creative London Ltd in writing within 24 hours. The company must be given a reasonable opportunity (minimum 24 hours) to inspect and rectify before any deductions, discounts, or third-party actions are taken. Failure to do so will be deemed full acceptance of the works as delivered.Stored Builds, Deterioration & Reinstallation
Custom-built structures, scenic elements, and fabricated items stored for extended periods may experience natural wear, environmental deterioration, or movement due to handling and temperature changes. Scratch Creative London Ltd will take reasonable care to protect stored items but cannot guarantee that any structure or element will reassemble or perform identically after storage. Reinstallations may require additional refurbishment, maintenance, or adjustments at the client’s cost. All storage is provided at the client’s risk unless otherwise specified.Maintenance & Warranty
Scratch Creative London Ltd provides a standard warranty on permanent and semi-permanent installations for the period agreed in the proposal or contract. Defects arising from workmanship or supplied materials will be repaired or replaced at no cost within this warranty period. The warranty excludes damage, misuse, neglect, or alteration by the client or third parties, as well as natural wear and tear or deterioration caused by environmental or transport conditions. After the warranty period, or where exclusions apply, all repairs and maintenance will be at the client’s cost. Ongoing maintenance services are only provided if expressly agreed under a separate contract.Intellectual Property & Design Licensing
All concepts, visuals, and creative ideas presented by Scratch Creative London Ltd remain its intellectual property until full payment is received. If a project is cancelled or does not proceed, the client may not reproduce, adapt, or use any such materials without written consent and an agreed licence fee. Upon full payment, ownership of final deliverables (excluding working files) transfers to the client for their intended use. Scratch Creative London Ltd reserves the right to photograph and publicise completed works for marketing purposes.Non-Solicitation (24 Months)
The client agrees not to solicit, approach, employ, or engage (directly or indirectly) any employee, contractor, or freelancer introduced by or working for Scratch Creative London Ltd for a period of 24 months following project completion or termination of this agreement. Any breach of this clause entitles Scratch Creative London Ltd to recover reasonable costs, fees, and damages associated with the loss of that personnel or resource.Delays Beyond Control
Scratch Creative London Ltd shall not be liable for any delays or inability to complete works on schedule where such delays arise from circumstances beyond its reasonable control, including international shipping delays, customs holds, site access restrictions, late client approvals, third-party failures, or regulatory issues. Any additional costs or rescheduling incurred as a result shall be the responsibility of the client.Adverse Weather & Environmental Conditions
For outdoor or weather-sensitive works, the client acknowledges that rain, wind, temperature, or other adverse conditions may affect safe delivery. Scratch Creative London Ltd may delay, postpone, or modify installation or event schedules in the interest of safety or material preservation. The company shall not be liable for consequential loss, rescheduling costs, or compensation if works are delayed or cancelled due to weather or environmental conditions beyond its control. Additional remobilisation, labour, or storage costs may be chargeable.Confidentiality & Data Protection
Both parties agree to treat all commercially sensitive information as confidential and not disclose it to any third party without prior written consent. Each party shall comply with all applicable data protection laws, including the UK GDPR, EU GDPR, and equivalent local data protection legislation in other territories.Website Content, Imagery & Copyright
All content featured on Scratch Creative London Ltd’s website, social channels, and marketing materials—including imagery, video, written copy, case studies, renders, animations, and design concepts—remains the sole property and copyright of Scratch Creative London Ltd. Such material may not be reproduced, distributed, copied, adapted, republished, or used in any form without prior written consent. Clients and partners are granted limited permission to reference or repost completed project imagery for promotional purposes, provided the work is properly credited to Scratch Creative London Ltd and the content is not altered, cropped, or presented in a misleading context. Any unauthorised use will be treated as a breach of copyright and may result in legal action.Indemnity
The client agrees to indemnify and hold harmless Scratch Creative London Ltd from any claims, damages, or losses arising from client-supplied materials, instructions, third-party actions, or failure to obtain necessary local licences or permits.Limitation of Liability
Total liability of Scratch Creative London Ltd shall not exceed the total contract value. The company is not liable for indirect, consequential, or economic loss including loss of profit, opportunity, goodwill, or anticipated revenue.Force Majeure
Scratch Creative London Ltd shall not be liable for delays, cancellations, or non-performance caused by events beyond its reasonable control, including but not limited to weather, strikes, pandemic, political unrest, import/export restrictions, government actions, or venue failure.Dispute Resolution
In the event of any dispute, both parties shall first seek to resolve the matter in good faith through informal discussion. If unresolved within 14 days, the matter may be referred to independent mediation before legal proceedings are initiated.Publicly Available Terms
Scratch Creative London Ltd’s latest Standard Terms & Conditions are publicly available at www.scratch-creative.com/terms. In the event that these terms are not expressly provided to a client, any quotation, proposal, or invoice issued by Scratch Creative London Ltd shall be deemed to incorporate these Terms & Conditions in full. By accepting a quotation, proposal, or making payment of any invoice, the client acknowledges that they have had the opportunity to review and agree to the current Terms & Conditions as published on the Scratch Creative London Ltd website.Governing Law & Jurisdiction
These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales. For projects delivered internationally, both parties agree that all disputes shall be resolved under English law and subject to the exclusive jurisdiction of the courts of England and Wales, regardless of the project’s location.Acceptance of Terms
By confirming the proposal, issuing a purchase order, or paying the deposit, the client is deemed to have accepted these Terms & Conditions in full.
